FIRST STATE PICKLEBALL CLUB BYLAWS

Bylaws for the First State Pickleball Club Inc.

Article I – Name

Section 1. The name of this organization shall be the First State Pickleball Club Inc

Section 2. This club shall be operated as a nonprofit organization run by volunteers and in accordance with applicable Delaware State law.

No officer or member shall receive compensation, stipends, or travel reimbursement of any kind.

Article II – Purpose

Section 1. To promote the sport of pickleball in a safe environment and in a sportsmanlike manner; provide the opportunity for all members to learn and improve their play and encourage social pickleball throughout the community.

The Club may solicit public and private donations and conduct fundraising activities in support of pickleball facilities in Sussex County, DE.

Article III – Membership

Section 1. Membership shall be open to all players in good standing without discrimination. Each

member in good standing shall have one vote.

Section 2. Conduct expected includes sportsmanship, integrity, courtesy and respect. Violations may result in suspension or termination by the Executive Board.

Article IV – Meetings

Section 1. A minimum of four (4) meetings per year shall be held. Special meetings may be called

with three (3) days notice. Quorum consists of three (3) Executive Board Officers.

Article V – Dues & Assessments

Section 1. The dues and fees assessed each member shall be determined annually by the Board. Timely payment of dues by each member shall be required for members to be in good standing. Currently the dues are $30.00.

Article VI – Officers and Governance

Section 1. The Executive Board consists of: President, Past President, Vice President, Secretary and Treasurer. At least one of the President or Vice President shall be a year-round resident of Delaware.

Section 2. The Past President may serve in an advisory capacity for one year following term completion.

Section 3. Officer terms: March 31 – March 30

Article VII – Financial Controls

Section 1.All purchases for FSP Club will be limited to $500.00 unless Board approved.

Section 1. The fiscal year of the Club shall start the 1st day of January and shall end on the 31st day of December that year.

 

Article X – Dissolution

Section 1. On dissolution of the club, all funds remaining in the treasury shall be distributed to a 501

(c) 3 selected by the Executive Board of Directors.
